In the Fall of 2010, I will be teaching “Deals” at NYU. The course examines how lawyers create value by identifying business risks and designing contractual solutions to manage those risks. It also explores how lawyers create value for their clients through regulatory arbitrage (exploiting the gap between the economics of a deal and its legal treatment). Several case studies are included.
In the Spring of 2011, I will return to the University of Colorado, teaching Deals and a colloquium series, Deals Workshop.
Past courses include Federal Income Tax, Corporate Tax, Partnership Tax, and Tax Policy.
My Deals course is described in more detail in this essay: Deals: Bringing Corporate Transactions into the Law School Classroom, 2002 Columbia Business Law Review 475.
